Background
By contract dated October 25, 1993, the Canadian Hydrographic Services - Department of Fisheries and Oceans ("CHS") agreed to provide Nautical Data International Inc.
("NDI") with an exclusive worldwide commercial right and license to use any data owned by Canada and maintained by CHS (the "CHS Contract"). The CHS Contract enables NDI to produce digital data products and product updates, to integrate such products with other products and services, and to distribute such products and services directly to NDI's customers or through third party distributors and value added licensees.
Through various correspondences and unilateral acts in January and February 2005, CHS purported to terminate the CHS Contract. As a result, on February 2, 2005, NDI filed a Notice of Intention to make a Proposal under the Bankruptcy and Insolvency Act. On February 10, 2005, the Supreme Court of Newfoundland and Labrador granted an Order restraining Canadian CHS from breaching and/or terminating the CHS Contract.
Notice
CHS has been restrained by Court Order from breaching and/or terminating the CHS Contract. Accordingly, any notice received by NDI's customers, dealers, distributors and/or licensees from CHS advising that NDI's license with CHS has been or will be terminated, is of no force or effect. NDI will be carrying on business as usual.
NDI
Nautical Data International, Inc. ("NDI") is the sole worldwide distributor of the official Canadian electronic navigation charts and other digital nautical information. A privately held Canadian company based in St. John's, Newfoundland and Labrador, NDI distributes its digital data products including the CHS certified digital charts under the brand DigitalOcean® for recreational boating, sports fishing, and commercial navigation purposes as well as for other non-navigation applications. In partnership with CHS since 1993, NDI has successfully developed a comprehensive digital cartography database comprised of thousands of nautical charts and other marine information covering navigable Canadian waters and coastal zones.
NDI's principal product lines consist of its portfolio of Canadian digital navigation charts and other nautical publications and products. These products are produced and distributed commercially for recreational boating, sports fishing and commercial shipping navigation uses, pursuant to the CHS Contract. The CHS Contract is the central operating asset of NDI's business, and the information provided by CHS forms the foundation of all products produced and distributed by
NDI.
NDI's most significant asset is its core team of marine information technologists and employees. At the end of 2004, NDI stood at 17 highly skilled employees, some of whom are fishermen who were retrained by NDI in the highly specialized marine information technology, after the depletion of east coast codfish stock.
